Terms of service

These Terms of Service ("Terms") govern your access to and use of clonq.io and the Clonq product (together, the "Service"), operated by Maksim Burov, trading as clonq.io ("Clonq", "we", "us"). By creating an account or otherwise using the Service, you agree to these Terms. If you don’t agree, don’t use the Service. • "Account" — your Clonq user record, created via Clerk (Discord, Google, or email sign-in).
• "Vault" — the knowledge collection you build inside your Account. You can have more than one.
• "Vault Content" or "Content" — anything you upload to a Vault: text, audio, video, PDFs, and linked URLs.
• "Statement" — a compiled unit of knowledge the platform extracts from your Content.
• "Vault Hours" — the quota governing how much Content you can ingest each billing cycle.
• "Monthly Replies" — the quota governing how many bot responses your Vault can generate each billing cycle.
• "BYOK" — Bring Your Own Key: your own Google Gemini API key, configured to run inference under your own Google account.
• "Discord Integration" — a connection between your Vault and a Discord server.
• "Plan" — your subscription tier (SANDBOX, LAUNCH, GROW, SCALE), each with its own quotas and pricing.

You must be at least 18 years old and able to form a binding contract to use the Service. If you’re using Clonq on behalf of an organization, you confirm you have the authority to bind it, and "you" refers to that organization.

You create an Account by signing in through Clerk — Discord, Google, or email one-time passcode. You’re responsible for keeping your sign-in credentials and connected accounts secure, and for everything that happens under your Account. Tell us at ··· if you suspect unauthorized access.

We block sign-ups from known disposable or temporary email domains as a basic anti-fraud measure.

Clonq is a knowledge vault, not an impersonation bot. You upload your own content — videos, documents, podcasts, chat history — and the platform compiles it into a searchable knowledge base. When someone in your Discord community asks a question, the bot answers from that knowledge base with a sourced citation. It doesn’t pretend to be you, and it doesn’t answer from anything you haven’t uploaded — if a question isn’t covered by your Vault, the bot stays silent and logs it as unanswered instead of guessing.

Clonq is a Platform-as-a-Service tool, not an editor or publisher of your Content. We don’t proactively review, verify, or validate the ownership, accuracy, or legal compliance of what you upload — that responsibility is yours alone, as set out in Your content below.

You keep ownership of everything you upload to your Vault. By uploading it, you grant us a license to store, process, and transform it — including sending it to Google Gemini for ingestion, embedding, and reply generation — solely to provide and support the Service to you.

By uploading materials, you warrant that you possess the necessary rights, licenses, and consents to process, distribute, and transform this data. You indemnify Clonq against all claims arising from your use of the platform.

You’re responsible for the personal data, copyrighted material, and any other content contained in whatever you upload. Don’t upload anything you don’t have the rights to, and don’t upload content that’s illegal or that violates a platform you connect (including Discord’s own Terms of Service and Community Guidelines).

Third parties can report copyright or DMCA violations against a Vault through the takedown form linked in the footer of every clone. A report automatically flags the Vault for owner review or suspension. As the Vault owner, you have 48 hours to respond before the flagged content is automatically de-listed. We keep a full audit trail of reports and actions taken for legal defense.

• Don’t try to gain unauthorized access to the Service, our systems, or our providers’ systems.
• Don’t probe, scan, or attempt to bypass our quotas, rate limits, or security controls.
• Don’t scrape, reverse-engineer, or attempt to derive the Service’s underlying models or source code.
• Don’t use the Service to send spam, generate disinformation, or impersonate a real person without disclosure.
• Don’t use the Service in a way that violates Discord’s Terms of Service, applicable law, or a third party’s rights.
• Don’t attempt to exceed your Plan’s quotas through automation, multiple accounts, or other workarounds.

We can investigate suspected violations and take action we consider appropriate, including suspending your Account, removing Content, and cooperating with law enforcement.

Clonq runs on two independent monthly quotas: Vault Hours (how much Content you can ingest) and Monthly Replies (how many bot responses your Vault can generate). Both reset every billing cycle and don’t roll over.

The LAUNCH Plan includes a boosted Vault Hours allowance in your first month to make initial setup easier; it drops to the Plan’s standard monthly rate from the second cycle on.

We may grant certain accounts temporary trial access to a paid Plan’s features. Trial terms — including duration, included quotas, and what happens when a trial ends — are shown to you in-product when the trial starts and can vary or change; using a trial means you accept the terms shown to you at the time.

Subscriptions are billed monthly and processed by Lemon Squeezy, our merchant of record — they handle payment collection, invoicing, VAT/sales tax, and refunds under their own terms. Upgrades take effect immediately, with Lemon Squeezy calculating the pro-rated charge. Downgrades take effect at your next billing cycle, not immediately.

If a payment fails, your subscription enters a grace period during which the Service keeps working while Lemon Squeezy retries the charge. If every retry fails, your Account is downgraded to SANDBOX and paid-tier features stop.

Bring Your Own Key (BYOK) is available on LAUNCH, GROW, and SCALE. It only affects reply generation — it doesn’t increase your Vault Hours ingestion limit or unlock plan-gated features. Your key is encrypted at rest and only decrypted in memory for the duration of an API call; invalid keys fail silently and fall back to your Plan’s included quota.

Bot replies are generated by Google Gemini from your uploaded Content. We don’t review individual replies before they’re sent, and while the system is designed to answer only from what you’ve uploaded and to stay silent otherwise, AI output can still be incomplete or wrong. You’re responsible for reviewing your Vault Content for accuracy — the Service isn’t a substitute for your own judgment about what your bot should be able to say.

You can delete your Account anytime from Account Settings. This cascades: your Discord integrations, sources, statements, chat sessions, and ledger entries are deleted with it, subject to the retention exceptions described in our Privacy Policy (e.g. records we’re legally required to keep).

We can suspend or terminate your Account for breach of these Terms, non-payment, suspected fraud or abuse, or if required by law. Where practical, we’ll tell you why. Sections that by their nature should survive termination — including Your content, Intellectual property, Disclaimers, Limitation of liability, and Governing law & disputes — continue to apply after your Account ends.

We own the Clonq platform, branding, and underlying software, aside from your Content and any open-source components we use under their own licenses. We grant you a limited, non-exclusive, non-transferable license to use the Service for your own community — you may not resell, sublicense, or white-label it without our written consent.

If you send us feedback or suggestions, we can use them to improve the Service without owing you anything for it.

The Service is provided "as is" and "as available." We don’t guarantee it will be uninterrupted, error-free, or that AI-generated replies will always be accurate — see AI output above. To the extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

To the extent the law allows: neither party is liable for indirect, incidental, consequential, or punitive damages, or for lost profits, revenue, or data, arising from the Service. Our total liability for any claim arising from these Terms or the Service is capped at the amount you paid us in the 12 months before the claim arose. Nothing in this section limits liability that can’t lawfully be limited, including for intent, gross negligence, or injury to life, body, or health.

You agree to indemnify and hold Clonq harmless from claims, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms, your Content, or your violation of a third party’s rights or applicable law.

These Terms are governed by German law, excluding the UN Convention on Contracts for the International Sale of Goods. Courts in Berlin, Germany have jurisdiction over any dispute not resolved informally, without prejudice to any mandatory consumer-protection rights you may have under the law of your own country of residence.

Before filing a claim, contact us at ··· — most disagreements are easier to resolve directly than in court.

We may update these Terms as the Service evolves. We’ll update the date at the top when we do; for material changes, we’ll notify you by email or an in-product notice before they take effect. Continuing to use Clonq after a change takes effect means you accept it.

• Entire agreement — these Terms, together with our Privacy Policy, are the whole agreement between you and Clonq about the Service.
• No waiver — not enforcing a provision once doesn’t waive our right to enforce it later.
• Severability — if a provision is found unenforceable, the rest of these Terms stay in effect.
• Assignment — you can’t transfer your rights under these Terms without our consent; we may assign them as part of a business transfer, on notice to you.
• Force majeure — neither party is liable for delays caused by events outside its reasonable control.
